Banking and Finance

We regularly advise banks and financial companies, Swiss or foreign, on all sort of issues relating to banking law and regulations, be it in connection with the establishment of a new bank (new banking and securities dealer licence and the opening in Switzerland of branches, subsidiaries or of representative offices of foreign banks or securities dealers in Switzerland) or regarding regulatory matters relating to the day-to-day business of banks operating in Switzerland.

We work on a regular basis with the Swiss Financial Market Supervisory Autority FINMA, be it for regulatory questions relating to the operations of banks active in Switzerland or regarding issues and questions relating to collective investment funds; we have experience in preparing the necessary filings and documentation for the granting of new banking licences, for the setting up of new branches, in Switzerland or abroad and for all other types of submissions to be made by banks to the Swiss Financial Market Supervisory Autority FINMA.

We have been retained on a regular basis as lead advisors in the context of banks' acquisitions or banks' mergers and have acquired a position as a market leader in this field having participated in a number of important transactions over the last few years.

We have also often been called upon to advise banking clients in the setting up and organisation of compliance and risk management departments, including money laundering compliance procedure and regulations. We regularly advise clients on these issues and help them to design and set up workable structures and organisations.

Our banking team works in close cooperation with our corporate finance / M&A team to assist lenders and borrowers in international and domestic finance transactions (credit facility, loans, mezzanine financing, etc.) and with our new technologies team in connection with financing issues, in particular in the IT sector and in connection with new technology issues such as e-banking.

We also advise Swiss and foreign collective investment funds, be it for their setting up and registration or for the necessary filings relating to their commercialization in Switzerland.
