Corporate Transactions

Active in this area for many years, we have developed strong expertise in M&A, corporate finance, advising clients on all types of transactions such as mergers and acquisitions, takeovers, LBOs, MBOs, MBIs, IPO's, restructuring, divestitures, spin-offs, as well as general domestic and international financial operations.

Our clients in this sector range from large multinational companies, investment banks and private equity funds to middle-sized and small successful companies and entrepreneurs.

We often act as lead counsel in cross-border deals and are regularly entrusted with the task of drafting the related legal documentation and with the responsibility of coordinating law firms in the various jurisdictions involved on a particular transaction.

Over the last few years our firm has participated in a number of important international transactions involving privately held companies or companies listed on a stock exchange either in Switzerland or abroad in many sectors of the economy (banking and financial services, stock exchanges, telecom, IT, multimedia, life science and healthcare, biotech, hotels, luxury, energy, food and nutrition, etc.).

Because we are organised as a fully integrated firm, lawyers in our corporate finance practice work very closely with lawyers in the general corporate, banking, new technologies, tax and competition practices whenever required. In the high-tech industry, we advise investment banks, venture capital firms and funds, corporate venture funds as well as investors in connection with raising finance for start-up or growing companies, which requires the input and cooperation of specialists in various sectors. We also assist both start-ups and investors in their exit strategies (trade sales, IPOs, etc.).

Our lawyers combine their legal skills with detailed industry knowledge in many sectors of the economy, ensuring a fuller and deeper understanding of our clients' needs.
In this field, like in the other sectors where we operate, we endeavour to bring added value through innovative, simple and creative solutions to the needs of our clients.
